Sovereign License Agreement

This agreement governs two types of licenses for the NGARi Software:

Subscription License. You pay a recurring monthly fee for access to the Software and associated services. Subscription tiers are defined on the Products page and may be updated with notice.

Perpetual License. You pay a one-time fee for lifetime access to the purchased version of the Software, including five (5) years of version upgrades from the purchase date. After the upgrade period, you may continue using the last-upgraded version indefinitely without further payment.

Billing. Subscriptions are billed monthly in advance through Stripe or BTCPay Server. You may upgrade, downgrade, or cancel at any time through the billing portal. Downgrades take effect at the end of the current billing period.

Renewal. Subscriptions renew automatically each month unless cancelled before the renewal date. You will receive a receipt for each payment.

Cancellation. Upon cancellation, your access to subscription features continues until the end of the paid period. No partial refunds are provided except as required by law.

Refunds. Refunds are available within fourteen (14) days of initial purchase. Subsequent months are non-refundable.

Payment. Perpetual licenses are paid in full at the time of purchase. Payment is processed through Stripe, BTCPay Server, or wire transfer for Enterprise licenses.

Upgrade Period. For five (5) years from the purchase date, you are entitled to all version upgrades and updates at no additional cost. After the upgrade period, the Software continues to function but no further upgrades are provided.

Transferability. Perpetual licenses are transferable to a replacement hardware node operated by the same licensee but may not be resold or transferred to a third party without written consent from NGARi Corporation.

No Refunds. All perpetual license sales are final. No refunds or exchanges are available.

NGARi Cloud (subscription only). Inference requires connectivity to our servers. Authentication and subscription management require internet connectivity. We strive for maximum availability but do not guarantee uptime.

Self-hosted (perpetual and subscription). The Software can operate fully offline on your own hardware. You are responsible for maintaining your own infrastructure.

Subscription. Either party may terminate a subscription at the end of any billing period. NGARi may terminate for cause if you materially breach this agreement and fail to cure within fourteen (14) days of notice.

Perpetual. A perpetual license, once paid, may only be terminated for cause as described above. Termination does not entitle you to a refund.
